Comprehensive terms and conditions for international agri export services provided by VH Global Export.
By placing an order or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.
1. General Terms
1.1 About This Agreement
These Terms of Service ("Terms") govern your use of vhglobalexport.com (the "Website") and all export services provided by VH Global Export ("Company", "we", "us", or "our"). By accessing our website or engaging our export services, you ("Customer", "you", or "your") agree to be bound by these Terms.

1.3 Scope of Business
We are a merchant exporter specializing in premium Indian agricultural products. Our services include, but are not limited to:
- Export of 18+ varieties of premium agro products
- Quality sourcing, testing, and certification services
- Private label manufacturing and customized packaging
- Bulk export orders and full container load shipments
- Export documentation, regulatory, and compliance support
2. Export Services
2.1 Service Categories
Bulk Export Services:
- Minimum Order Quantity (MOQ) of 1,000 kg for most products
- Container loads: 20 ft (22–24 MT) and 40 ft (up to 26 MT)
- Mixed container loads available
- Long-term and recurring supply contracts
Private Label Services:
- Minimum Order Quantity of 5,000 units
- Custom packaging, branding, and labeling
- Lead time of 3–4 weeks from order confirmation
- Design assistance and regulatory compliance support
Retail Export Services:
- Small quantity exports for distributors and retailers
- Standardized retail packaging options
- Multiple product categories in a single shipment
2.2 Geographic Coverage
We export to more than fifty (50+) countries across the following regions:
- North America: United States, Canada, Mexico
- Europe: United Kingdom, Germany, Netherlands, France, Italy, Spain
- Middle East: UAE, Saudi Arabia, Qatar, Kuwait, Oman
- Asia Pacific: Singapore, Malaysia, Australia, Japan, South Korea
- Africa: South Africa, Nigeria, Kenya
2.3 Service Limitations
We reserve the right to take the following actions at our discretion:
- Refuse service to any customer or destination
- Modify minimum order quantities based on product availability or market conditions
- Temporarily suspend services to specific regions due to regulatory, political, or logistical constraints
- Require additional documentation or approvals for certain destinations
3. Product Quality & Specifications
3.1 Quality Standards
All products supplied by us meet or exceed the following quality and safety standards:
- FSSAI (Food Safety and Standards Authority of India) certification for all applicable products
- ISO 22000:2018 compliant Food Safety Management System
- HACCP (Hazard Analysis and Critical Control Points) implementation
- Organic certifications including NPOP, EU Organic, and USDA Organic where applicable
- Compliance with international quality and regulatory standards of destination countries
3.2 Product Specifications
Each product is supplied with detailed technical and quality specifications, including:
- Physical parameters such as size, color, and moisture content
- Chemical analysis including active compounds and nutritional values
- Microbiological parameters and safety testing
- Heavy metal analysis and pesticide residue reports
- Aflatoxin testing and contamination screening
3.3 Certificate of Analysis
Each export shipment is accompanied by the following quality and compliance documents:
- Certificate of Analysis (COA) issued by accredited laboratories
- Certificate of Origin
- Phytosanitary Certificate where required by the importing country
- Quality and regulatory compliance certificates
- Fumigation certificates where applicable
Quality Guarantee
We guarantee that all products will meet the agreed specifications at the time of export. Any quality issues must be reported within 7 days of receipt with supporting laboratory evidence.
4. Orders & Pricing
4.1 Order Process
- Inquiry: Submit detailed product and quantity requirements via our website or email
- Quotation: Detailed quotation provided within 4–6 business hours
- Samples: Free samples available for evaluation (courier charges may apply)
- Order Confirmation: Written order confirmation is required to proceed
- Proforma Invoice: A detailed proforma invoice is issued for approval and payment
- Production: Order processing begins upon payment confirmation
4.2 Pricing Terms
- Currency: All prices are quoted in USD unless otherwise specified
- Validity: Quotations are valid for seven (7) days unless stated otherwise
- Price Basis: FOB, CIF, or Ex-Works as specified in the quotation
- Volume Discounts: Available for large-volume orders and subject to negotiation
- Price Changes: Prices may change based on raw material availability and market conditions
4.3 Minimum Order Requirements
- Bulk Orders: Minimum order quantity of 1,000 kg
- Private Label Orders: Minimum order quantity of 5,000 units
- Mixed Orders: Subject to individual product-specific MOQs
- Sample Orders: Free samples up to 250 g (courier charges may apply)
4.4 Order Modifications
Order modifications are subject to the following conditions:
- Changes are accepted only before production has commenced
- All modification requests must be submitted in writing
- Price adjustments may apply depending on the nature of changes
- Delivery schedules may be impacted by approved modifications
5. Payment Terms
5.1 Accepted Payment Methods
- Letter of Credit (LC): Irrevocable LC at sight or usance, subject to mutually agreed terms
- Telegraphic Transfer (T/T): 30% advance payment and 70% against shipping documents
- Documents against Payment (D/P): Available for established customers with approved credit history
- Documents against Acceptance (D/A): Subject to internal credit approval and risk assessment
5.2 Payment Schedule
For New Customers:
- 100% advance payment or confirmed Letter of Credit
- Credit terms may be considered after establishing a consistent business relationship
For Established Customers:
- 30% advance payment and 70% against shipping documents
- Letter of Credit terms as mutually agreed
- Credit limits subject to periodic review and adjustment
5.3 Banking Details
Detailed banking information will be provided in the proforma invoice. All payments must include:
- Beneficiary name: VH Global Export
- Correct invoice or proforma invoice reference number
- Clear description of the purpose of payment
5.4 Late Payment
- Interest charges of 2% per month may apply on overdue amounts
- Future shipments may be delayed or held until full payment is received
- Legal or recovery actions may be initiated in cases of non-payment
Payment Security
We recommend using secure payment methods. Be aware of payment fraud and verify all banking details directly with our official channels before making payments.
6. Shipping & Delivery
6.1 Shipping Terms
- FOB (Free on Board): Our responsibility ends once the goods are loaded onto the nominated vessel
- CIF (Cost, Insurance, Freight): We arrange ocean freight and insurance coverage up to the destination port
- Ex-Works: The customer is responsible for pickup, transportation, and export arrangements from our facility
6.2 Delivery Timeline
- Standard Orders: Typically shipped within 7–14 days from payment confirmation
- Custom / Private Label Orders: Approximately 3–4 weeks from final design and label approval
- Large Volume Orders: Estimated delivery timeline of 2–3 weeks depending on order quantity
- Peak Season: Additional 1–2 weeks may be required during harvest or high-demand periods
6.3 Shipping Documentation
All shipments are accompanied by complete export documentation, including:
- Commercial Invoice
- Packing List
- Certificate of Origin
- Quality Analysis Report / Certificate of Analysis
- Phytosanitary Certificate (where required)
- Insurance Certificate (for CIF shipments)
- Bill of Lading or Airway Bill
6.4 Risk and Title Transfer
- Risk of loss or damage transfers according to the agreed Incoterms
- Title to goods transfers only upon receipt of full payment
- Insurance coverage is provided as per the agreed shipping terms
6.5 Delays and Force Majeure
We shall not be held liable for delays or failures in performance caused by events beyond our reasonable control, including:
- Natural disasters, acts of God, or adverse weather conditions
- Government actions, regulatory changes, or port restrictions
- Shipping line delays, vessel congestion, or capacity constraints
- Documentation delays caused by authorities or third parties
- Strikes, lockouts, labor disputes, or industrial actions
7. Returns & Refunds
7.1 Quality Issues
In the event that products do not meet the agreed specifications, the following procedure applies:
- Notify us in writing within seven (7) days of receipt of goods
- Provide an independent laboratory analysis or test report as supporting evidence
- Retain the products in their original, unopened packaging
- We will investigate the claim and communicate an appropriate resolution
7.2 Return Policy
- Returns are accepted only in cases of verified quality non-compliance
- Products must be unopened, unused, and in original packaging
- Return shipping costs will be borne by the responsible party as determined
- Perishable or consumable products are not eligible for return
7.3 Refund Process
- Approved refunds will be processed within fifteen (15) business days
- Refund amounts may be adjusted to account for return shipping costs
- Applicable banking or transaction charges will be deducted from the refund
- As an alternative, replacement products may be offered at no additional cost
7.4 Exclusions
Returns or refunds will not be provided under the following circumstances:
- Change of mind or changes in customer business requirements
- Products damaged during transportation, except where shipped under CIF terms
- Products past their shelf life due to customer delays or improper storage
- Products that meet agreed specifications but do not align with customer preferences
8. Intellectual Property
8.1 Our Intellectual Property
- The VH Global Export brand name, trademarks, and logo are owned by us
- Website content, product descriptions, images, and specifications are protected by copyright
- Product formulations, processing techniques, and trade secrets are proprietary
- Unauthorized use, reproduction, or distribution of our intellectual property is strictly prohibited
8.2 Customer Intellectual Property
- We respect and protect the intellectual property rights of our customers
- All customer-provided designs, trademarks, labels, and specifications remain the property of the customer
- Customer proprietary information is treated as confidential
- Non-disclosure agreements (NDAs) are available upon request
8.3 Private Label Rights
- Customers retain full rights to their brand names, logos, and packaging designs
- We do not claim ownership over any customer intellectual property
- Jointly developed product formulations belong to the respective parties as agreed in writing
- Responsibility for third-party intellectual property infringement arising from customer-provided materials rests with the customer
9. Limitation of Liability
9.1 Liability Limitations
Our liability, if any, shall be limited as follows:
- Limited to the value of the specific product or service giving rise to the claim
- Applicable only to direct damages and excludes indirect, incidental, or consequential damages
- Replacement of products that are proven to be non-conforming
- Refund of the purchase price for defective products, at our discretion
9.2 Exclusions
We shall not be liable for the following:
- Loss of profits, revenue, or business opportunities
- Damages arising from misuse, improper handling, or storage of products
- Claims, losses, or actions initiated by third parties
- Regulatory or legal changes affecting product approvals or market access
- Losses due to currency exchange rate fluctuations
9.3 Insurance
- We maintain appropriate business and operational insurance coverage
- Product liability insurance covers manufacturing-related defects
- Customers are advised to maintain their own insurance coverage as necessary
- Marine insurance is arranged for shipments under CIF terms
Maximum Liability
Our total liability for any claim shall not exceed the value of the specific order in question, regardless of the nature of the claim.
10. International Trade Compliance
10.1 Export Regulations
- We comply with all applicable Indian export laws and regulations
- Valid export licenses, registrations, and statutory approvals are maintained
- Required certifications including FSSAI, APEDA, and other authorities are kept current
- Compliance with anti-dumping laws, trade restrictions, and export control measures
10.2 Import Compliance
Customers are responsible for ensuring compliance with all import regulations in the destination country, including:
- Obtaining required import licenses, permits, and approvals
- Payment of applicable customs duties, taxes, and government fees
- Providing accurate and complete customs declarations
- Compliance with local food safety, labeling, and import standards
10.3 Sanctions and Restrictions
- We do not conduct business with sanctioned countries, entities, or individuals
- Compliance with United Nations (UN), United States (US), European Union (EU), and other applicable sanctions regimes
- Customer and transaction screening is conducted for all orders
- Orders may be suspended or cancelled if sanctions or restrictions apply
10.4 Documentation Support
- Provision of all required export documentation for shipments
- Assistance with destination country import documentation requirements
- Guidance on regulatory compliance and trade documentation
- Updates and notifications regarding changes in export or import regulations
11. Privacy & Data Protection
11.1 Data Collection
We collect the following categories of information in the course of our business operations:
- Business contact information
- Order, billing, and transaction details
- Website usage, analytics, and technical data
- Communication records including emails and correspondence
11.2 Data Use
- Processing orders and delivering agreed products and services
- Communication related to orders, services, and customer support
- Improving our products, services, and customer experience
- Compliance with applicable legal, regulatory, and contractual obligations
11.3 Data Protection
- Secure storage and handling of customer and business information
- Access to data restricted on a strict need-to-know basis
- Regular security audits, monitoring, and system updates
- Compliance with applicable data protection and privacy laws
11.4 Data Sharing
We may share relevant data with trusted third parties strictly for business and legal purposes, including:
- Logistics, freight forwarding, and shipping partners
- Payment processors, banks, and financial institutions
- Government, regulatory, or statutory authorities when legally required
- Legal advisors, auditors, and compliance consultants
12. Dispute Resolution
12.1 Governing Law
- These Terms of Service are governed by and construed in accordance with the laws of India
- Exclusive jurisdiction lies with the courts of Rajkot, Gujarat, India
- The United Nations Convention on Contracts for the International Sale of Goods (CISG) applies unless expressly excluded
- Incoterms® 2020 issued by the International Chamber of Commerce govern shipping and delivery terms
12.2 Dispute Resolution Process
The parties agree to resolve disputes through the following escalating process:
- Direct negotiation through good-faith discussions
- Mediation conducted by a neutral third party if negotiations fail
- Binding arbitration in accordance with applicable Indian arbitration laws
- Litigation before competent courts as a last resort
12.3 Arbitration
- Venue: Rajkot, Gujarat, India
- Language: English
- Rules: Arbitration rules of the Indian Council of Arbitration
- Number of Arbitrators: Single arbitrator for claims up to USD 50,000; three arbitrators for claims exceeding USD 50,000
12.4 Limitation Period
All claims must be brought within the following limitation periods:
- Quality-related claims: Within six (6) months from the date of delivery
- Payment-related disputes: Within two (2) years from the due date
- All other claims: Within one (1) year from the date of occurrence
- No claims shall be accepted after the expiry of the applicable limitation period
Preferred Resolution
We prefer to resolve all disputes through direct communication and negotiation. Most issues can be resolved quickly through our customer service team.

Amendment and Updates
We reserve the right to update these Terms of Service at any time. Changes will be posted on our website with the effective date. Continued use of our services after changes constitutes acceptance of the updated terms.
For significant changes affecting existing orders, we will provide 30 days' notice via email to registered customers.
Effective Date: These Terms of Service are effective from January 1, 2026.
